Terms of service
Terms for the WAM Agents service — provided and licensed by Magnet Ltd, sold by IE Artem Polyanskiy, with payments handled by Creem.
Provider: Magnet Ltd, registration number 01010667, Innovation City, Ras Al Khaimah, United Arab Emirates — operator and licensor of the Service.
Seller: IE Artem Polyanskiy, Georgia (Small Business). Tax ID (s/n): 305603825. Contact: support@magnets.tg.
Payments: processed by Creem (creem.io) as Merchant of Record. Purchases paid in Telegram Stars are sold by the Provider itself and paid inside Telegram (Section 10.2a).
Effective date: 11 September 2026. Version: 1.5 (international edition), effective from 28 October 2026, the day of its publication; notice of it is given on that day in the manner of Section 15.1. New Section 10A (member network — card publication, contact disclosure on mutual interest, automated processing, retention and deletion). The feature is optional: Section 10A and the related clauses of the Privacy Policy apply only to a User who publishes a card after the separate consent under clause 10A.3; nothing changes for other Users, the User’s obligations do not increase and the services paid for are not reduced, so the 30-day notice under Section 15.1 does not apply to version 1.5. Version 1.4 is effective from 28 October 2026, the day of its publication; notice of it is given on that day in the manner of Section 15.1. New Sections 10.1f (auto top-up), 10.2a (payments in Telegram Stars) and 10.3a (saved payment methods); amended Sections 1.1, 2.8, 2.12, 10.1c, 10.2, 10.3, 10.4 and 12.2(a). Auto top-up and payments in Stars are optional: Sections 10.1f and 10.2a, and the amendments that describe these options, apply from that day to a User who turns auto top-up on or pays in Stars, by that User’s separate consent, Section 15.3 notwithstanding; for other Users nothing changes. Section 10.3a adds a right of the User, and Sections 10.3 and 12.2(a) now name the actual way to turn off auto-renewal; these apply to all Users from that day. This version does not increase the Users’ obligations or reduce the services paid for; should any of its provisions nonetheless worsen the position of a User who accepted these Terms before that day, it applies to that User 30 days after the notice (Section 15.1), subject to Section 15.3. Previous version: 1.4, effective 28 October 2026 (Sections 10.1f, 10.2a and 10.3a — auto top-up, payments in Telegram Stars, saved payment methods); version 1.3, effective 12 October 2026 (Section 10.1e, referral programme for Invitees registered from 10 October 2026); version 1.2, effective 11 September 2026; version 1.1, effective 2 September 2026.
1. General provisions and acceptance
1.1. These Terms of Service (the “Terms”) govern the relationship between the user of the WAM Agents service (the “User”, “you”) and, on the other side, (a) Magnet Ltd, registration number 01010667, Ras Al Khaimah, United Arab Emirates (the “Provider”), which owns, operates and licenses the Service, and (b) IE Artem Polyanskiy, Georgia, Tax ID (s/n) 305603825 (the “Seller”), which sells and distributes Subscriptions on the Provider’s behalf, save for purchases paid in Telegram Stars, which the Provider sells itself (Section 10.2a(b)). “We” means the Provider and the Seller, each acting within its own role as set out in these Terms; together with the User they are the “Parties”.
1.2. By pressing “Accept & create agent” in @wamagentsbot, activating the Service, completing checkout, or using the Agent, the User accepts these Terms in full. If the User does not accept them, the Service must not be used.
1.3. These Terms, together with the Privacy Policy and the Refund & Cancellation policy referenced herein, constitute the entire agreement between the Parties in respect of the Service.
1.4. Independence; no affiliation. WAM Agents is an independent product and is not affiliated with, endorsed by, or sponsored by DeepSeek, Anthropic, OpenAI or any other model provider. We provide access to these models through our own interface.
2. Definitions
2.1. Service — the WAM Agents Telegram-native personal-agent service described in Section 3.
2.2. Agent — the AI assistant instance allocated to the User and accessible through Telegram.
2.3. Container — the isolated runtime environment allocated to the User in which the Agent operates.
2.4. Bot Token — the Telegram Bot API credential that authenticates the Agent within Telegram.
2.5. OAuth Token — the credential that authenticates the Agent with an LLM Provider on behalf of the User’s own subscription.
2.6. LLM Provider — a third-party large-language-model provider whose API performs the Agent’s computations (e.g. Anthropic).
2.7. Output — content generated by the Agent in response to the User’s instructions.
2.8. Subscription — the paid access to the Service on the Pro plan: recurring, with automatic renewal (Section 10.3), or, where paid in Telegram Stars, for one 30-day period without renewal (Section 10.2a(c)).
2.9. Plan — the set of conditions on which the Service is provided to the User: Free (no fee, with a limited monthly allowance of Subscription magnets) or Pro (a paid Subscription), as set out in Section 10.1.
2.10. Magnet (Ⓜ) — the unit of account in which the Agent’s work is measured. Magnets are not money, e-money or a financial instrument, cannot be exchanged for cash and are not transferable, save as expressly provided in these Terms.
2.11. Subscription magnets — magnets included in the User’s plan for a billing period. Pack magnets — magnets purchased by the User separately as part of a Magnet pack. Bonus magnets — magnets granted by the Provider under promotional programmes (Section 10.1d).
2.12. Magnet pack — a separately paid set of Pack magnets of a fixed size, purchased by the User’s own action or, where the User has turned on auto top-up, automatically (Sections 10.1c and 10.1f).
2.13. Merchant of Record (Creem) — Creem (creem.io), the entity that acts as reseller of record for international transactions: it processes payments, issues billing documents, collects and remits applicable sales tax/VAT, and handles refunds and chargebacks on the Seller’s behalf.
3. Description of the Service
3.1. WAM Agents is a Telegram-native personal agent service. On activation, the Provider allocates a dedicated Container to the User, connects it to the User’s Telegram account via the @wamagentsbot bot and/or a bot created on the User’s behalf, and provides access to the Agent inside Telegram.
3.2. Default model (DeepSeek). By default, the Agent’s computations are performed via the Provider’s shared technical key against the DeepSeek API, within the magnet allowance of the User’s plan (Section 10.1b); no third-party account or OAuth Token is required from the User. This flow transmits the content of the User’s messages to DeepSeek (Hangzhou DeepSeek Artificial Intelligence Co., Ltd.), where it is processed and stored on servers in the People’s Republic of China (PRC) under the laws of the PRC. The PRC has not received an adequacy decision from the European Commission, and the legal protections available there differ materially from those under EU/EEA and Turkish law. By choosing to use the Service on the default model, the User gives explicit consent to this transfer within the meaning of Article 49(1)(a) of the GDPR and Article 9 of the Turkish Law on the Protection of Personal Data No. 6698 (KVKK). The nature of the data transferred, the associated risks, the retention applied by DeepSeek, and the relevant regulatory context are set out in the Privacy Policy. The User may avoid this transfer entirely by attaching their own model under Section 3.2a before using the Agent.
3.2a. Optional own model (Pro plan). On the Pro plan the User may attach their own model (e.g. Anthropic Claude or OpenAI Codex) via the /claude command. In that flow the Service calls the provider’s API using the User’s own OAuth Token, and model-inference fees are charged by that provider directly against the User’s own subscription, separately from the Subscription fee payable to the Provider. With respect to traffic performed via the User’s OAuth Token, the Provider does not determine the composition or content of the data transferred, and the User is an independent data controller for such transfer.
3.3. The Service includes: allocation of the Container and management of its lifecycle, baseline Agent configuration (policies, skills, tools), security monitoring, log rotation within operational limits, and user support via the /support command in @wamagentsbot.
3.4. The Service is a technology platform. The Provider does not provide legal, medical, financial, tax, human-resources or other regulated professional advice and bears no liability for the consequences of decisions taken by the User on the basis of the Agent’s Output.
4. Beta status
4.1. The Service is provided in public beta. Functionality, plans, limits and integrations may be changed, added or disabled. A specific service level (availability, latency, support response time) is not guaranteed unless expressly agreed in writing.
4.2. The Provider shall give notice of material changes at least 30 days in advance in the manner set out in Section 15.
5. Eligibility
5.1. The User represents that: (a) they are at least 16 years old, or have reached the minimum age required in their jurisdiction; (b) they have the legal capacity to enter into these Terms; (c) if using the Service on behalf of a legal entity, they are authorised to bind that entity; and (d) they hold, or will create, the third-party accounts required for the selected plan (e.g. an Anthropic account with an active Claude subscription for Claude-based plans).
6. Account, Bot Token and OAuth Token
6.1. Bot Token. The User either provides an existing Bot Token, or authorises the Provider to generate one on the User’s behalf via the Telegram BotFather tooling supplied by the Provider. The bot belongs to the User.
6.2. OAuth Token. For plans based on an LLM Provider’s API accessed via the User’s subscription, the User either provides the relevant OAuth Token, or authorises the Provider to obtain it on the User’s behalf. The OAuth Token authenticates the Agent with the LLM Provider on behalf of the User’s own subscription.
6.3. Storage and use. The Provider stores these tokens solely to operate the Service for the User, applies access-control measures, and does not use them for any other purpose.
6.4. Revocation. The User may revoke the Bot Token (via BotFather) and the OAuth Token (via the LLM Provider) at any time. Revocation renders the Service technically inoperable until replacement credentials are supplied.
6.5. Account security. The User is responsible for the security of their Telegram and LLM-Provider accounts, and shall notify the Provider at support@magnets.tg without undue delay of any unauthorised access.
7. The Agent — autonomy and human oversight
7.1. The User has sole control over the Agent’s configuration: prompts, policies, connected tools, skills and autonomy levels.
7.2. The Service supports configurable autonomy levels, including: (a) Automatic — the Agent acts and reports the result; (b) Confirmation required — the Agent proposes an action and waits for User approval; (c) Blocked — the action is never performed autonomously.
7.3. The User bears sole responsibility for all actions of their Agent, including actions performed under levels configured as Automatic, and undertakes to exercise human oversight whenever an Agent action may entail material, legal, financial or irreversible consequences.
7.4. The User acknowledges the non-deterministic nature of LLM systems: the Output may be inaccurate, incomplete, outdated or unexpected, and shall be verified independently before being relied upon.
7.5. The User shall comply with the applicable usage policies of the LLM Provider in use (e.g. Anthropic’s Usage Policies at anthropic.com/legal) and with Telegram’s Terms of Service (telegram.org/tos), in each case in their current form.
8. Acceptable use
8.1. The User undertakes not to use the Service, and not to allow their Agent to be used, to: (a) violate applicable law; (b) commit fraud, deception, impersonation, or money laundering; (c) distribute malware or gain unauthorised access to information systems; (d) send spam, threats or insults, carry out mass mailings without recipients’ consent, or incite violence; (e) unlawfully collect, process or disclose third parties’ personal data; (f) create or distribute child sexual abuse material, material facilitating weapons of mass destruction, or any other content prohibited by law or by the applicable LLM Provider’s usage policies; (g) infringe third parties’ intellectual-property or other rights; (h) interfere with the security, integrity or performance of the Service; (i) perform reverse engineering, automated scraping or benchmark testing of the Service without the Provider’s prior written permission; or (j) generate, distribute or solicit sexually explicit (NSFW) or other adult content.
8.2. The Provider may investigate suspected violations, cooperate with lawful requests from competent authorities, and apply the measures set out in Section 12.
9. User content and intellectual property
9.1. Intellectual property. All rights in the Service software, infrastructure, documentation, and in the designations “WAM Agents”, “We Are Magnets” and associated marks belong to Magnet Ltd. The Seller distributes the Service under authorisation from Magnet Ltd and acquires no rights in it. Nothing in these Terms transfers any such right to the User.
9.2. User content. “User content” means the data, prompts, configurations, files and other content the User places inside, or creates within, the Container. All rights in User content remain with the User, who is responsible for holding the necessary rights and consents.
9.3. Licence to the Provider. The User grants the Provider a non-exclusive, royalty-free licence to host, process, transmit and technically adapt User content solely to the extent necessary to provide, protect, maintain and improve the Service for the User.
9.4. No training use. The Provider does not use User content to train artificial-intelligence models. Content transmitted through an LLM Provider’s API is governed by that provider’s applicable API terms.
9.5. Output. Output generated by the Agent belongs to the User, subject to the rights of third parties and to the conditions imposed by upstream LLM Providers in respect of model-generated content.
10. Fees, billing and Merchant of Record
10.1. Plans and fees. The Service is offered on two plans. Free — no fee and no payment method required; the User receives 200 Ⓜ of Subscription magnets in the first calendar month after registration and 100 Ⓜ in each following month; Magnet packs are not available on Free and neither is own-model attachment (Section 3.2a). Pro — a Subscription priced at USD 13.90 per calendar month, billed in advance with automatic renewal, including 400 Ⓜ of Subscription magnets per billing period and access to Magnet packs and the option to attach an own model (Section 3.2a). The Subscription is charged in US dollars; where the User’s card is denominated in another currency, the amount debited is set by the User’s own bank at its rate on the charge date. The Pro fee covers the Service infrastructure and the default model (Section 3.2); an optional own model (Section 3.2a) is billed by the upstream provider directly against the User’s own subscription and is outside the Subscription fee. The current prices, billing frequency and supported payment methods are disclosed in @wamagentsbot and on the pricing page at the point of subscribing.
10.1a. First month of Pro. Where the User subscribes to Pro within 7 (seven) calendar days of registering in @wamagentsbot, the fee for the first billing period is USD 1.39; from the second period the full fee under Section 10.1 applies. After that window the Subscription is billed at the full fee from the first period.
10.1b. Magnets. A magnet (Ⓜ) is the unit in which the Agent’s work is measured. Subscription magnets are granted at the start of each billing period (on Free — on the calendar day of registration; on Pro — on the charge date) and expire at its end; unused magnets do not roll over. Pack magnets never expire and survive plan changes and renewals. Bonus magnets do not expire either, but are voided when the account is deleted (Section 12.2(b)). Magnets are deducted for operations actually performed at the rates published on the pricing page, which form part of these Terms; Subscription magnets are spent first, Pack magnets after. If an operation fails without delivering a result, the magnets deducted for it are refunded in full automatically. When magnets are exhausted, operations that require deduction pause until the next grant or a pack purchase; access to the Service and stored data is not affected. Magnets are not money, e-money or a financial instrument, cannot be exchanged for cash and are not transferable.
10.1c. Magnet packs. Pro Users may purchase packs of Pack magnets: 500 Ⓜ for USD 9.90; 1,500 Ⓜ for USD 27.90; 5,000 Ⓜ for USD 89.90. Each pack is paid for separately. A pack is purchased by the User’s own action or — only where the User has turned on auto top-up — automatically under Section 10.1f; without auto top-up, packs are neither purchased nor renewed automatically. Packs are paid through Creem (Section 10.2) or, where offered, in Telegram Stars (Section 10.2a).
10.1d. Bonus magnets. The Provider may grant Bonus magnets under promotional programmes published in @wamagentsbot (including /referral) and on the site. Bonus magnets are granted free of charge, are not a discount on the fee, are non-refundable and non-exchangeable. Referral rewards are governed by Section 10.1e. The Provider may change or end such programmes prospectively; magnets already granted are retained.
10.1e. Referral programme. A User (the “Inviter”) may invite others to the Service through a personal link obtained with the /referral command in @wamagentsbot. A person who registers in @wamagentsbot through that link (the “Invitee”) starts on the Free plan under Section 10.1: 200 Ⓜ of Subscription magnets in the first calendar month, with no payment method required. For Invitees registered on or after 10 October 2026, 00:00 Moscow time (UTC+3), rewards are granted as follows:
(a) First payment. When the Invitee makes their first Subscription payment, the Inviter receives 300 Ⓜ of Bonus magnets.
(b) Activity. Where, within the first 7 (seven) calendar days after registration, the Invitee has messaged the Agent on at least 3 (three) different calendar days and spent at least 50 Ⓜ, the Inviter and the Invitee each receive 100 Ⓜ of Bonus magnets.
(c) Every third payment. For every third first Subscription payment made by Invitees, the Inviter automatically receives one calendar month of the Pro plan free of charge and 400 Ⓜ of Bonus magnets. Where the Inviter holds a paid Pro Subscription, its next charge date moves forward by one calendar month. A Pro month granted under this paragraph is not a Subscription payment, including for the purposes of paragraphs (a) and (c), and is non-refundable and non-exchangeable.
(d) Limits and review. Within any 30 (thirty) calendar days, up to 10 (ten) rewards under paragraph (a) and up to 10 (ten) rewards under paragraph (b) are granted immediately; any further rewards in the same period are granted after the Provider has reviewed compliance with this Section.
(e) Refunds. Where a payment for which a reward under paragraph (a) was granted is refunded to the Invitee, that reward is written off the Inviter’s balance.
(f) Transitional rule. For Invitees registered before 10 October 2026, 00:00 Moscow time (UTC+3), the terms in force on their registration date continue to apply: the Inviter receives 200 Ⓜ of Bonus magnets for the Invitee’s first Subscription payment, and paragraphs (a)–(c) do not apply.
(g) Restrictions. Referral rewards are granted only in Bonus magnets and the Pro month under paragraph (c), and only for the Invitee actions described in paragraphs (a)–(c) and (f); no reward is granted for sign-ups as such or for the number of people referred. Self-referral, including through linked accounts, is void.
(h) Counting rules. A first payment that has been refunded to the Invitee is not counted under paragraph (c). A write-off under paragraph (e) is limited to the Inviter’s available Bonus magnets; no debt of the Inviter to the Provider arises. Calendar days under paragraph (b) are determined in Moscow time (UTC+3).
10.1f. Auto top-up.
(a) What it is. Auto top-up is the purchase of the Magnet pack chosen by the User without a separate action of the User, paid with a payment method the User has saved for that purpose. It takes one of two forms: (i) threshold top-up — each time the User’s magnet balance falls to the threshold chosen by the User, the pack is charged to the card the User has saved with Creem, through Creem’s automatic refill; (ii) pack subscription — where Creem’s automatic refill is not available, the chosen pack is charged through Creem once in every period shown on the consent screen, until cancelled. Auto top-up is available to Pro Users; it is not available for payments in Telegram Stars (paragraph (d)).
(b) Turning it on. Auto top-up is off by default. The User turns it on only on a separate consent screen in @wamagentsbot (/balance), choosing the pack and, for a threshold top-up, the threshold and the maximum number of automatic purchases in any 30 (thirty) consecutive days (the “cap”). The screen shows the pack price, the largest amount that can be charged in any 30 (thirty) consecutive days (for a pack subscription — per period), the payment method, how to turn auto top-up off, and a link to these Terms; consent is never given by a pre-ticked box. Tapping the button that turns auto top-up on is the User’s consent to automatic charges within the parameters chosen. The Provider records the consent with the version of the screen text, the date and time it was given and the parameters chosen. Changing the parameters requires a new confirmation on the same screen. Where Creem requires it, the User also confirms the payment method on its page.
(c) Threshold top-up. A pack is purchased automatically when the magnet balance shown by /balance in @wamagentsbot has fallen to the chosen threshold or below — at the price shown on the consent screen, at most once per calendar day and so that the number of automatic purchases in any 30 (thirty) consecutive days does not exceed the cap. Calendar days are determined in Moscow time (UTC+3). No automatic purchase is made within 24 (twenty-four) hours before a Subscription renewal charge. If the pack price increases, auto top-up is paused until the User confirms the new price; a price decrease applies without confirmation. Pack magnets are credited once the payment is confirmed.
(d) Telegram Stars. Auto top-up does not work with Telegram Stars: Telegram Star subscriptions are not used, and nothing is charged in Stars without the User’s own action. Where @wamagentsbot sends the User an invoice in Stars when the balance reaches the threshold, that invoice is paid only by the User’s own action, and the pack it pays for is a one-time purchase under Section 10.2a(d).
(e) Notice. After each automatic charge the Provider sends the User a message in @wamagentsbot stating the amount charged, the magnets credited, the new balance and the number of automatic purchases in the last 30 days, with a button to turn auto top-up off. Billing documents for charges made through Creem are issued by Creem (Section 10.2).
(f) Declined charges. A declined charge is not retried automatically: the Provider sends the User one message with a link to pay for the pack manually, and the next automatic purchase may take place no earlier than the next calendar day. After two declined charges in a row, auto top-up is paused until the User turns it on again, and the Provider tells the User so in @wamagentsbot. A declined auto top-up charge does not affect the Subscription and is not a ground for suspension under Section 12.1(d).
(g) Turning it off. The User may turn auto top-up off at any time in one step — with the «Turn off» button in any charge message or in the auto top-up section (/balance in @wamagentsbot); the User may also ask via /support or support@magnets.tg. After that no automatic charges are made; packs already purchased and their magnets are retained. Where auto top-up is already off — under this paragraph, paragraph (h) or Section 10.3a — when the payment for an automatic charge is confirmed, the pack is not credited, and the payment is refunded to the original payment method without a request from the User.
(h) Automatic turn-off. Auto top-up is turned off without a separate action of the User where: the User turns off the Subscription’s auto-renewal (Section 10.3); the Subscription ends and the User moves to the Free plan; the User withdraws permission to use the saved payment method (Section 10.3a) or replaces it; the User disputes a payment for a pack with their bank or card issuer (chargeback); a payment for any pack — whether purchased automatically or by the User’s own action — or for the Subscription is refunded to the User in full or in part; or the account is deleted (Section 12.2(b)). The User may turn auto top-up on again; this requires a new consent under paragraph (b).
(i) Refunds. An automatically purchased pack none of whose magnets has been spent is refunded in full on a request made within 14 days of the charge; a partly used pack is refunded under the Refund & Cancellation policy. The unused magnets of a refunded pack are written off the User’s balance.
10.2. Merchant of Record. Payments, other than payments in Telegram Stars (Section 10.2a), are processed by Creem (creem.io) acting as Merchant of Record. As reseller of record for the transaction, Creem is responsible for payment processing, issuing billing documentation, collecting and remitting any applicable sales tax or VAT, and handling refunds and chargebacks. The Provider is the supplier of the underlying Service. The merchant of record for the transaction is Armitage Labs OÜ (trading as Creem), registry code 16977866, Rotermanni 14, Tallinn 10111, Estonia. The charge appears on the User’s card statement under the Creem name. By completing a purchase the User additionally accepts the Creem Buyer Terms; invoices, payment history, payment method changes and cancellation are available in the Creem customer portal.
10.2a. Payments in Telegram Stars.
(a) Availability. Where @wamagentsbot offers it, the User may pay for the Pro Subscription and Magnet packs in Telegram Stars — virtual items provided by Telegram for purchasing digital goods and services in Telegram bots. Prices in Stars are shown in @wamagentsbot before payment. Every payment in Stars is a one-time payment made by the User’s own action: Telegram Star subscriptions are not used, and nothing renews or is charged in Stars automatically.
(b) Seller and processing. The Pro plan and Magnet packs paid in Stars are sold to the User by the Provider, Magnet Ltd (Section 1.1), itself; the Seller and Creem take no part in such purchases, and Section 10.2 does not apply to them. Payments in Stars are made inside Telegram through Telegram’s payments for digital goods and services. The purchase and use of Stars are governed by Telegram’s Terms of Service for Telegram Stars and Terms of Service.
(c) Pro in Stars. A payment in Stars for the Pro plan is a one-time payment for 30 (thirty) days of the Pro plan at the price in Stars shown before payment; it is not a Telegram Star subscription and does not renew automatically. Pro paid in Stars ends after those 30 days unless the User pays again; a new payment made before they end adds 30 days to the paid period. Subscription magnets under Section 10.1 are granted for each 30-day period on the day it starts. If the paid period ends without a new payment, the User moves to the Free plan. For Pro paid in Stars this paragraph prevails over Sections 10.1 and 10.3 as regards the billing period and renewal. Section 10.1a applies to Pro paid in Stars only where @wamagentsbot shows the first-month price in Stars before payment.
(d) Packs in Stars. A pack paid in Stars is a one-time purchase and is credited once Telegram confirms the payment.
(e) Refunds in Stars. A refund of a purchase paid in Stars is made in Stars to the User’s Telegram Stars balance, on the terms of the Refund & Cancellation policy; such purchases are not refunded in money. Magnets credited for a refunded purchase, to the extent not spent, are written off the User’s balance. Refunds of Stars bought from Telegram or through an app store are governed by Telegram’s terms and the rules of that store.
(f) Payment support. Questions and disputes about payments in Stars are handled by the Provider: the User may use the /paysupport command in @wamagentsbot, as well as /support and support@magnets.tg.
10.3. Auto-renewal. A paid Subscription renews automatically for subsequent periods at the price in effect at the moment of charge, on the calendar day corresponding to the first successful charge. Where Section 10.1a applied, the first renewal is charged at the full fee under Section 10.1. The User consents to recurring charges from the registered payment method until cancellation. On a failed charge, the Seller (or Creem) may make a limited number of retry attempts; if retries are exhausted, the Subscription is cancelled and the Container is placed into a waiting state pending payment restoration. The User may turn off auto-renewal at any time in @wamagentsbot (/status → «Turn off auto-renewal»); this stops future Subscription charges and also turns off auto top-up (Section 10.1f). Pro paid in Stars does not renew automatically (Section 10.2a(c)).
10.3a. Saved payment methods. The User may at any time withdraw permission to use a payment method saved for charges made without the User’s participation — the card used for the Subscription’s auto-renewal or for auto top-up. To do so, the User may use /status → «Turn off auto-renewal» in @wamagentsbot (this applies to all saved payment methods: auto-renewal and auto top-up are both turned off), the «Turn off» button in a charge message or in /balance (auto top-up only), the Creem customer portal, /support or support@magnets.tg. From the moment the withdrawal is received, no further charges are made with that payment method; an automatic charge whose payment is confirmed after that moment is refunded and its pack is not credited (Section 10.1f(g)). The withdrawal does not terminate these Terms: access for the paid period and magnets already purchased are retained.
10.4. Cancellation and refunds. Cancellation and refunds are governed by the Refund & Cancellation policy. In short: the User may cancel at any time in either of two ways: in @wamagentsbot: /status → «Turn off auto-renewal», or in the Creem customer portal; if neither is available, the User may write to support@magnets.tg; access continues until the end of the current paid period; refunds, including refunds for unused Magnet packs, are reviewed on the terms set out in that policy and processed through the original payment method — via Creem or, for purchases paid in Telegram Stars, in Stars (Section 10.2a(e)). Refunds for automatically purchased packs follow Section 10.1f(i).
10A. Member network
10A.1. What it is. The member network is an optional feature of the Service. A User may publish a card about themselves so that other Users’ Agents can suggest them to their owners, and may ask their own Agent to look for other members. The feature is off by default. A Member is a User who has published a card. Only a User aged 18 or over may publish a card; by publishing a card the User confirms that they are at least 18 years old. This Section does not apply to a User who has not published a card, and none of their data enters the network.
10A.2. Card and summary. The card is free text about the User of up to 4,000 characters; the summary is its short version of up to 300 characters. The Agent drafts both at the User’s request from what it knows about the User through their work together, and shows them in full. Only text the User has approved is published. Working files, the conversation with the Agent and other Container content are not shared with the network. A newly approved version replaces the previous one, which stops being visible to other Members.
10A.3. Consent on publication. Before every publication of a card, including a new version of it, the Agent shows the User, in a separate message, the consent text — at present in Russian, with a link to the corresponding section of the Russian-language offer (https://magnets.tg/ru/terms), and to the following effect: “Publish your profile and members’ agents will be able to suggest you to each other. Contact opens only if you both turn out to be a match. You can take the profile down at any time; a contact already opened cannot be withdrawn. Details are in the “Member network” section of the terms.” — and asks whether to publish the card. For Users of these Terms the conditions of this Section 10A govern. The card is published only after the User answers that question in the affirmative; approving the text of the card is not in itself consent to publication. The affirmative answer is the User’s consent, given separately from acceptance of these Terms and from any other consent: (a) to their approved card and summary being shown to the Agents of other Members — to any number of Members, but to no one else; the User decides what the card contains by approving its text, and no other information about them enters the network (clause 10A.2); and (b) the User’s explicit consent to their card summary, without identifiers, being sent to DeepSeek in the PRC for the pre-screening under clause 10A.6(b) whenever another Member’s search is pre-screened, and to the wording of whom the User is looking for being sent there when the User’s own search is pre-screened, given after being informed of the risks of that transfer set out below and in clause 6.4 of the Privacy Policy (DeepSeek’s retention and use of the data). The rest of the member-network processing is necessary to perform the member-network service that the User turns on by publishing the card: receiving interest from other Members, including when the User’s own Agent is not searching; giving the User’s Telegram username, summary and reason phrase only to the Member with whom the interest turns out to be mutual (clause 10A.5); storing member-network data on a server in the USA; and the other processing described in the Privacy Policy (clauses 3.10, 6.8, 7.2, 8.7 and 11.2). The User is informed that neither the USA nor the PRC is recognised as ensuring an adequate level of data protection, that data held there may be accessible to public authorities under local law and that the User’s remedies there may be limited; the safeguards and the basis for each transfer are set out in clause 7.2 of the Privacy Policy. Taking the card down (clause 10A.7) pauses its display and is not a withdrawal of consent: the card and related data are kept and incoming interest accumulates. The User may withdraw consent at any time by deleting the card through the Agent or by a request via /support or to support@magnets.tg: the card stops being shown and member-network data is deleted as set out in clause 8.7 of the Privacy Policy. Withdrawal does not take back what has already been given to the other side on mutual interest. A card can be published only if the User has a Telegram username: it is how contact is opened. The Provider checks the username against the account on every publication and, on mutual interest, gives out the username checked at the latest publication; a Member who changes their username should publish the card again, otherwise the other side will receive the old username.
10A.4. What other Members see. Until interest is mutual, other Members can access only the card, the summary and the reason phrase (clause 10A.5). The Telegram username, Telegram identifier and any other contact details are not disclosed before mutual interest. Only a Member’s Agent can read other Members’ cards. By default the Agent drafts the card without a first or last name; if the User adds them, the Agent warns once that they will be visible before interest is mutual. Withholding contact details does not rule out that a Member is recognised from the content of their card, summary or reason phrase — including by an Agent from its own memory of an earlier pair with that Member or of people its User knows. Information by which the User does not wish to be recognised before mutual interest should not be put in the card.
10A.5. Interest, declining and contact. The Agent expresses interest in another Member at its User’s request, together with a one-sentence reason on the User’s behalf: the Agent shows it to the User, and it is sent only after the User has approved it; the other side sees this reason, together with the summary, before interest is mutual. If the other side has also expressed interest, the Provider gives each side the other’s Telegram username, summary and reason phrase. From then on the Members talk directly, outside the Service; the Provider neither receives nor stores that conversation. After mutual interest the Agent asks the User no more than twice whether the connection took place; a “yes” is passed to the Provider as the “connection made” mark. A decline by either side hides the pair in both directions with no time limit; the declined side is not told; only the side that declined can lift it. Interest left unanswered fades after 30 (thirty) days. After interest fades or is withdrawn, interest in the same Member can be expressed again no sooner than 7 (seven) days later. The Provider may limit the number of card views, search runs and expressions of interest per period.
10A.6. Automated processing. The member network uses: (a) a contact check — on publication, the card and summary are automatically checked for phone numbers, email addresses, usernames and links; text containing contact details is not published and the Agent offers to fix it; (b) pre-screening — when a search runs, the Provider sends the DeepSeek model (Hangzhou DeepSeek Artificial Intelligence Co., Ltd., PRC), via a dedicated technical key of the Provider, the card summaries without identifiers and the wording of whom the User is looking for; the model returns the numbers of matching summaries. If pre-screening is unavailable, summaries are returned without it. The User’s Agent reads the selected cards and decides whom to suggest; the User decides whether to express interest; and (c) automatic withdrawal — if several different Members report a Member within a period set by the Provider, that Member’s card is automatically withdrawn from the network pending review by the Provider. The Member may object via /support or support@magnets.tg; the objection is reviewed by a member of the Provider’s staff, not by an automated system. Decisions about meeting are made by the Users themselves; automated processing only determines which cards the Agent receives and in what order. Section 7 on the non-deterministic nature of the Agent’s Output applies to the Agent’s suggestions in the member network as well.
10A.7. Taking down and deleting the card. The User may take the card down at any time through the Agent: it immediately stops being visible to other Members; incoming interest accumulates and is shown if the card is restored. The User may delete the card and related data at any time through the Agent or by request via /support; on account deletion (/delete) they are deleted in the same way. What is deleted and what is kept is set out in clause 8.7 of the Privacy Policy. Not withdrawable: the Telegram username, summary and reason phrase already given to the other side on mutual interest, and the fact that a connection took place (Privacy Policy, clause 8.7(b) and (d)).
10A.8. Decline, block and report. The User may hide another Member by declining (clause 10A.5). Where blocking is available in the Agent, the User may block a Member through the Agent, including after mutual interest: the two stop seeing each other in the network, in both directions and with no time limit; the blocked Member is not told; only the side that blocked can lift it; a block does not withdraw a contact already given. The User may report a Member via /support in @wamagentsbot or to support@magnets.tg, and, where this is available in the Agent, through the Agent; a report made through the Agent also blocks the pair. A report contains the User’s own description and a reference to the card; no conversation between Members is passed on. Reports are reviewed by the Provider.
10A.9. Card content. The card, summary and reason phrase are User content (Section 9); the User is responsible for their accuracy and lawfulness. They must not contain: (a) contact details — phone numbers, email addresses, usernames, links to websites or social networks: contact opens only on mutual interest; (b) advertising of third parties, goods or services, or calls to visit external resources; (c) other people’s personal data without their consent; or (d) content that impersonates another person or is otherwise prohibited by Section 8. A contact received on mutual interest may be used only to communicate with that Member: mass messaging, spam and passing the contact on to third parties are not permitted. The card, summary and reason phrase must also not contain special categories of personal data — racial or ethnic origin, political opinions, religious or philosophical beliefs, health, sex life or sexual orientation — biometric data or data on criminal convictions; the Agent offers to remove such information before publication. The Provider may take down a card that breaches this clause or Section 8.
10A.10. No guarantees; liability. The Provider does not guarantee that the User will be suggested to anyone or that any introduction will take place, and does not verify cards. The Provider is not a party to Members’ communications and arrangements and is not responsible for them, including for the conduct of a Member who received a contact on mutual interest and for the consequences of Members’ meetings and dealings; the User may report breaches to the Provider (clause 10A.8). Other Users’ Agents never message the User: everything about the member network reaches the User only through their own Agent.
10A.11. Cost. Pre-screening (clause 10A.6(b)) is paid for by the Provider. Drafting the card, reading cards and other Agent work in the member network are ordinary Agent operations and are charged in magnets at the published rates.
11. Personal data
11.1. Personal data processed in the Service is controlled by Magnet Ltd, as described in the Privacy Policy, which forms an integral part of these Terms. The Seller processes the User’s data only in its own sales and accounting records, as a separate controller.
11.2. By accepting these Terms, the User acknowledges the processing of personal data in the scope and for the purposes set out in the Privacy Policy.
12. Suspension and termination
12.1. The Provider may suspend or terminate access where: (a) the User materially breaches these Terms or the Acceptable Use rules (Section 8); (b) the User’s use creates security, legal, reputational or abuse-related risk for the Provider or third parties; (c) required by law or by a lawful decision of a competent authority; (d) an auto-renewal charge has failed (Pro only); or (e) the LLM Provider through which the User’s plan is performed has discontinued or restricted service for reasons beyond the Provider’s control.
12.2. The User may terminate at any time by: (a) turning off auto-renewal in @wamagentsbot (/status → «Turn off auto-renewal», Section 10.3) or cancelling in the Creem customer portal — disables auto-renewal and auto top-up; access retained until the end of the paid period; or (b) running /delete in @wamagentsbot — deletes the Container, Agent configuration, tokens and related personal data, subject to retention periods set out in the Privacy Policy and under applicable law.
12.3. Post-termination. Within 30 days after termination, the User may request an export of stored User content via /support. After that period, the Provider deletes the User content, save for data whose retention is required by law.
12.4. Survival. Provisions allocating liability for Agent actions performed prior to termination, intellectual-property rights, and Sections 8, 13 and 16 survive termination.
13. Disclaimers and limitation of liability
13.1. The Provider does not warrant the accuracy, fitness or completeness of the Agent’s Output. The Service is provided “as is” and “as available” to the extent permitted by applicable law.
13.2. The Provider is not liable for Service malfunctions caused by third parties, including LLM Providers, Telegram, payment services and cloud-infrastructure providers, nor for unavailability resulting from force majeure (Section 14).
13.3. To the maximum extent permitted by applicable law, the Provider’s aggregate liability arising out of or in connection with the Service is limited to the amount paid by the User for the Subscription and Magnet packs in the 12 months preceding the event giving rise to the claim or, for Users on the Free plan, USD 50.
13.4. The User bears sole responsibility for their own actions, for the actions of the Agent, and for compliance with applicable law while using the Service (Section 7).
13.5. Nothing in these Terms limits any liability that cannot be limited under applicable mandatory law, including imperative consumer-protection rights.
14. Force majeure
14.1. The Parties are released from liability for non-performance caused by force-majeure circumstances arising after acceptance of these Terms, including natural disasters, war, terrorism, sanctions, acts of public authorities, pandemics, internet and telecommunications outages, outages of a third-party LLM Provider, outages of Telegram or payment services, cloud-infrastructure incidents, and power outages.
15. Changes to these Terms
15.1. The Provider may update these Terms. Notice of material changes is given via @wamagentsbot, by email to the address supplied by the User, or by in-product announcement, at least 30 days prior to the effective date.
15.2. If the User does not agree with the changes, they may terminate the Subscription before the effective date in the manner of Section 12 and obtain a refund for the unused paid period in accordance with the Refund & Cancellation policy.
15.3. Existing Users. Users who paid for a Subscription under the previous redaction keep its terms until the end of their current paid period; the next renewal is governed by this redaction. Where such a User’s next billing period starts less than 30 days after the notice under Section 15.1, the previous redaction continues to apply for one more billing period. Users registered without payment move to the Free plan under this redaction on the effective date.
15.4. Amendments do not have retroactive effect as regards the price and scope of services for a period already paid in full prior to the effective date.
16. Governing law and disputes
16.1. These Terms are governed by the law of Georgia.
16.2. The Parties shall seek to resolve disputes through negotiation. Failing agreement, the dispute is subject to the courts at the Seller’s registered seat in Georgia, without prejudice to any mandatory right of a consumer to bring proceedings in the courts of their place of residence under applicable law.
17. Final provisions
17.1. Notices to the Provider or the Seller are sent to support@magnets.tg. Notices to the User are sent via @wamagentsbot, by email, or by in-product announcement.
17.2. The User may not assign their Subscription or rights under these Terms without the Provider’s prior written consent.
17.3. If any provision is held invalid, the remaining provisions continue in effect.
18. Abuse notices and content-removal procedure
18.1. Where a third party believes that content or actions taken through the Service infringe their rights or are otherwise unlawful, they may send a notice to support@magnets.tg stating: (a) identification of the content; (b) information sufficient to locate it; (c) the notifier’s contact details; (d) a statement of good-faith belief that the use is wrongful; and (e) a statement of the accuracy of the notice.
18.2. The Provider may investigate, remove or restrict the flagged content, and suspend the associated account, giving the User an opportunity to object.
